Helzy Health Tech Pvt Ltd ("HHTPL") is the owner and publisher of the portal www.Helzy.in and the mobile application 'Helzy', collectively referred to as “website”. The following terms and conditions ("Terms of Use") together with the privacy policy ("Privacy Policy"), govern your access to and use of our websites, including any content, functionality and services offered on or through our websites, and our online applications that run on smart phones, tablets and other devices. By accepting the terms and conditions while registering on the website, you are agreeing to be bound by the terms of use and the privacy policy and other policies which may be applicable to access this website for various purposes including availing the services offered by the website. In case, you don't agree to the terms of use, privacy policy and other policies, you are advised to not use the website for any purpose.

By accessing the Website to use the Services either self or through a representative, you irrevocably accept all the conditions stipulated in this Agreement, the Subscription Terms and conditions and its Privacy Policy, as available on the Website, and agree to abide by them unless you choose to de-register yourself from our services.
The Agreement is published in compliance of, and is governed by the provisions of Indian law, including but not limited to:
1. the Indian Contract Act, 1872,
2. the Indian Information Technology Act, 2000, and the rules, regulations, guidelines and clarifications framed there under, including the (Indian) Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (the "SPI Rules"), and the (Indian) Information Technology (Intermediaries Guidelines) Rules, 2011 (the "IG Rules").
1. The Website/Portal/App
1.1 Users: The Website is accessible to visitors / non-registered users, registered users, a patient, and his/her representatives or affiliates, searching for Healthcare service providers through the Website ("End-User", "you" or "User").
PERSONS WHO ARE UNDER THE AGE OF 18 YEARS OF AGE MAY ONLY USE OUR WEBSITE WITH LEGAL PARENTAL OR GUARDIAN CONSENT. ACCORDINGLY, YOU AGREE THAT YOU ARE 18 YEARS OF AGE OR OLDER OR POSSESS LEGAL PARENTAL OR GUARDIAN CONSENT, AND ARE FULLY ABLE AND COMPETENT TO ENTER INTO THE TERMS, CONDITIONS, REPRESENTATIONS AND WARRANTIES SET FORTH IN THESE TERMS OF USE. OTHERWISE, PLEASE EXIT THE WEBSITE.
"Registered Users" are the users who have registered themselves on the Website by creating an account and furnishing some details on the website. They can access the Website by providing their username and password or through OTP delivered on their registered mobile in real time.
"Non-Registered Users" are the users who have not registered on the Website but may access some limited information on the Website.
Some of the features of the Website are available to Registered Users only.
"Health Care Service Providers" or "HCSPs" are duly qualified professionals allowed to provide various healthcare services to the needy of such services and (a) with whom Registered Users can schedule an appointment using the Website or (b) who can provide health related information to Registered Users or (c) with whom Registered Users can consult privately with respect to their queries.
"Labs" are laboratories registered on website, that collect various samples from Registered Users for the purpose of conducting pathological tests and varied diagnostic services referred to as "Lab Tests".
“Pharmacies” are medicine shops or chemists registered on website, that provide prescription or non-prescription medicines to registered users
Registered Users, Non-Registered Users, Patients, Labs, pharmacies and HCSPs, shall collectively be referred to as "Users".
1.2. Types of content on the Website:
The various types of content available on the Website may be categorized as follows:
1.2.1. Content like feedback, information, data, text, sound, photographs, graphics, video, messages, or other materials provided by Registered Users ("User related Content")
1.2.2. Content provided by HCSP including health related information and educational material; and information provided by way of responses to questions raised by Registered Users ("HCSP Content");
1.2.3 Contents provided by Labs including instructions and any other information relating to Lab Tests ("Lab generated Content").
1.2.4 Content which HHTPL (through itself or third party) has generated or procured for the Website ("Helzy Content").
1.2.5 Content of third party websites referred to or linked by website (Third Party Content)
2. LINKS TO THIRD-PARTY WEBSITES
As a convenience only, this website may contain links to other websites belonging to or operated by third parties. By making these links available, HHTPL is not endorsing third-party websites, their content, products, services or the owners of these third-party websites. HHTPL does not operate, control or endorse in any respect such External Sites or their content. You assume sole responsibility for use of these External Sites and are therefore, advised to examine the terms and conditions of those External Sites carefully.
HHTPL has no control over third-party websites and will not be liable for any loss or damage you suffer, whether directly or indirectly, as a result of your use of third-party websites. You agree that where you access third party websites you do so entirely at your own risk.
You must not link Your own website or any third-party website, to this Website without obtaining the prior written approval of HHTPL. Use of any automated screen capture or screen scraping technologies to obtain information from this Website without the prior written approval of HHTPL is an infringement of our intellectual property rights.
3. TERMS OF USE APPLICABLE TO ALL USERS
3.1 END-USER ACCOUNT AND DATA PRIVACY
3.1.1 The terms "personal information" and "sensitive personal data or information" are defined under the SPI Rules, and are reproduced in the Privacy Policy.
3.1.2 HHTPL may through its various Services, collect information relating to the devices through which you access the Website, and anonymous data of your usage. The collected information will be used only for improving the quality of services being facilitated by website and to facilitate new services from time to time.
3.1.3 The Website allows HHTPL to have access to registered Users' personal email or phone number, for better communication related to the services and for obtaining feedback in relation to the services, Health care services providers and their facilities etc.
3.1.4 The Privacy Policy sets out, inter-alia:
1. The type of information collected from Users, including sensitive personal data or information;
2. The purpose, means and modes of usage of such information;
3. How and to whom HHTPL will disclose such information; and,
4. Other information mandated by the SPI Rules.
3.1.5 The User is expected to read and understand the Privacy Policy, so as to ensure that he or she has the knowledge of, inter-alia:
1. the fact that certain information is being collected;
2. the purpose for which the information is being collected;
3. the intended recipients of the information;
4. the nature of collection and retention of the information; and
5. the name and address of the agency that is collecting the information and the agency that will retain the information; and
6. the various rights available to such Users in respect of such information.
3.1.6 HHTPL shall not be responsible in any manner for the authenticity of the personal information or sensitive personal data or information supplied by the User to website or to any other person acting on behalf of HHTPL.
3.1.7 The User is responsible for maintaining the confidentiality of the User's account access information and password, if the User is registered on the Website. The User shall be responsible for all usage of the User's account and password, whether or not authorized by the User. The User shall immediately notify HHTPL of any actual or suspected unauthorized use of the User's account or password. Although HHTPL will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of HHTPL or such other parties as the case may be, due to any unauthorized use of your account.
3.1.8 If a User provides any information that is untrue, inaccurate, not current, or incomplete (or becomes untrue, inaccurate, not current, or incomplete), or HHTPL has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, HHTPL has the right to discontinue the Services to the User at its sole discretion.
3.1.9 IHHTPL may use such information collected from the Users from time to time for the purposes of debugging customer support related issues.
3.2 INTERMEDIARY
The Platform is an intermediary that allows Users to locate and interact with various Users, including HCSPs and Labs. With respect to the Platform, the User acknowledges that HHTPL may provide you with a list of HCSPs, Labs and Pharmacies who may be suitable to provide the service you seek, based on the information that you provide to HHTPL. The display is an automated computation of the various factors including inputs made by the users including their comments and feedback. Such factors may change from time to time, in order to improve the display algorithm. You are ultimately responsible for choosing the Users you seek to avail services from.
HHTPL selects HCSPs, Labs & Pharmacies to be featured on the Platform based on the information provided by them, which may not have been verified by HHTPL, and does not recommend or endorse any HCSPs, Labs and Pharmacies that may appear on the Platform. Further, HHTPL does not control or endorse the content, messages or information found in any Services and, therefore, HHTPL specifically disclaims any liability with regard to the Services and any actions resulting from your participation in any Services. You agree that you waive any claims against HHTPL relating to same, and to the extent such waiver may be ineffective, you agree to release any claims against HHTPL relating thereto.
All private communication which inter alia includes any inquiry, any medical or health record, physical and mental health conditions, symptoms, charts, prescriptions, images, videos, test results, lab results, data and content relating to a medical condition, the responses from HCSP and Lab, etc., is the outcome of the communication between the Users and the HCSP and Lab. We do not have any control over such information, play no determinative role in its finalization, and do not stand liable for the outcomes of such communication.
HHTPL MAKE NO GUARANTEES, REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESSED OR IMPLIED, WITH RESPECT TO PROFESSIONAL QUALIFICATIONS, EXPERTISE, QUALITY OF WORK, AVAILABILITY OF EQUIPMENT, AVAILABILITY OF TRAINED PERSONNEL TO OPERATE EQUIPMENT, AVAILABILITY OF MEDICINES, COMPLIANCE BY HCSP/LAB WITH APPLICABLE LAWS OR OTHER INFORMATION HEREIN PERTAINING TO HCSP/LAB. IN NO EVENT SHALL HHTPL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION.
3.3 MOBILE APPLICATION
Upon download and installation of the mobile application, you grant the following permissions to the application to perform the following actions on the device You have installed the application on:
1. to read from, write on, modify and delete data pertaining to the application on the device’s hard disk and/or external storage;
2. to access information about networks, access networks including wifi networks, receive and send data through the network;
3. to determine your approximate location from sources like, but not limited to mobile towers and connected Wi-Fi networks;
4. to determine your exact location from sources such as, but not limited to GPS;
5. to access the model number, IMEI number and details about the operating system of the device the application has been installed on, as well as the phone number of the device;
6. to retrieve information about other applications running on the device the application has been installed on and open them;
7. to detect when the device had been switched off and switched on for the purpose of sending notification/ push notifications; and
8. to access and change the display and sound settings of the device the application has been installed in.
3.4 APPOINTMENT BOOKING
HHTPL, through its website provides a REGULAR and an EMERGENCY appointment facility
Regular Booking: - This is the normal booking that any user can book when appointments slots get open for booking by the HCSP and till the slots are available. HHTPL does not guarantee booking of appointment if slots are not available.
Cancellation & Refund: - Cancellation of the regular booking 1 hr prior to the appointment time is allowed and shall be refunded (if paid online) after deduction of gateway and other service charges, as defined by the gateway and the HCSPs, within 10 working days via NEFT
Emergency Booking: - To facilitate people who don’t want to wait in queue or in case of emergency like pain or unease, catching a train, bus or flight etc, an urgent booking of appointment without waiting in queue is allowed in Emergency appointment.
The HCSPs will define the number of slots and the charges of Emergency booking, which may or may not be higher than the regular booking charges. Emergency booking can be done for the same day during OPD hours.
Cancellation & Refund: -HCSPs have the right to cancel the Emergency booking, in case they are not able to entertain the same, and shall refund the full amount through cash or if paid online, by HHTPL within 10 working days via NEFT.
No refund will be given if Emergency appointment cancellation is done by the patient or if patient did not reach the clinic.
HCSP has a right to take Emergency patients when they want, or to hold Emergency patients as per their policy. HHTPL will not be responsible for any delay in consultation. Concerned HCSP is the final decision taker.
Confirmation of Booking: Users have a choice to choose PAY ONLINE or PAY AT CLINIC option while booking. On successful transaction, your appointment will be confirmed online. after you complete booking process and the transaction successfully. Confirmation is subject to realization of consultancy fees and the charges (including Service Tax) from concerned Bank through the Payment Gateway or through cash. You will be responsible for all charges, fees, duties, taxes and assessments arising out of your use of this Website.
Refund: If, for any reason, the appointment booking does not materialize, the entire amount debited from your online account will be credited back to your same account within 10 working days via NEFT. If you want to try for the same reservation again, it will be treated as a fresh booking.
You must check your appointment confirmation for errors, if any, as soon as you receive it. If an error is noticed and the ticket does not comply with the information set out in during appointment booking process, you must inform HHTPL of the same immediately at help.helzy@gmail.com or call us at +91-8709782299.
4. TERMS OF USE APPLICABLE TO HCSP, LABS AND PHARMACIES
As part of the registration process and at any time thereafter, You may be required to provide HHTPL with various information such as your photo id, your medical registration details (as recognized by the Medical Council of India and the applicable State Medical Council), your qualifications, professional certifications, employment details and other information in order to prove that you are a valid registered medical practitioner in the field that you claim (“Registration Information”). HHTPL may verify such Registration Information or may ask you for additional information. HHTPL may also make enquiries from third parties to verify the authenticity of your Registration Information. HHTPL may further consider background verification, policy verification, civil/criminal Court order check and such other standard verification processes to verify your identity and track record, whether directly or through a third-party service provider. You authorize us to make such enquiries from such third parties, and you agree to hold them and HHTPL harmless from any claim or liability arising from the request for or disclosure of such information. You agree that HHTPL may terminate your access to or use of the Platform and/or Services at any time if HHTPL is unable at any time to determine or verify your Registration Information. HHTPL reserve to right to carry out re-verification of Registration Information as and when required, and the above rights and commitments will extend to re-verification as well.
If you provide any information that is untrue, inaccurate, out of date or incomplete (or becomes untrue, inaccurate, out of date or incomplete), or HHTPL have reasonable grounds to suspect that the information provided by you is untrue, inaccurate, out of date or incomplete, HHTPL may, in our sole discretion, discontinue the provision of the Services to you. You agree that Your use of Tools is subject to verification by your identity and credentials as a Healthcare Service Provider.
By using the Platform and/or the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth herein, and that the Registration Data provided by you is accurate, complete, current, valid and true and is updated from time to time. The Platform is administered in India and is intended for Indian users; any use outside of India is at the HCSP’s own risk and users are responsible for compliance with any local laws applicable to their use of the Services or the Platform.
You represent and warrant that You shall not use the Services in violation of any applicable laws and guidelines including Indian Medical Council (Professional conduct, Etiquette and Ethics) Regulations, 2002, or any other code of conduct governed by Your professional council.
You hereby acknowledge that by using the Platform to provide Services, you will gain access to sensitive personal information of Users. You represent and warrant that You will, at all times during the use of the Tools and thereafter, comply with all laws directly or indirectly applicable to you that may now or hereafter govern the collection, use, transmission, processing, receipt, reporting, disclosure, maintenance, and storage of sensitive personal information of Patients, including but not limited to the Information Technology Act, 2000 and The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 made thereunder.
HHTPL shall remit the fees collected on your behalf for bookings in accordance with terms agreed between You and HHTPL in the License Agreement executed.
5. RIGHTS AND OBLIGATIONS RELATING TO CONTENT
5.1 As mandated by Regulation 3(2) of the IG Rules, HHTPL hereby informs Users that they are not permitted to host, display, upload, modify, publish, transmit, update, or share any information that:
1. belongs to another person and to which the User does not have any right to;
2. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
3. infringes any patent, trademark, copyright or other proprietary rights;
4. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
5. impersonate another person;
6. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
5.2 Users are also prohibited from:
1. violating or attempting to violate the integrity or security of the Website or any Helzy Content;
2. transmitting any information (including job posts, messages and hyperlinks) on or through the Website that is disruptive or competitive to the provision of Services by Helzy;
3. intentionally submitting on the Website any incomplete, false or inaccurate information;
4. making any unsolicited communications to other Users;
5. using any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars or intelligent agents) to navigate or search the Website;
6. attempting to decipher, decompile, disassemble or reverse engineer any part of the Website;
7. copying or duplicating in any manner any of the Helzy Content or other information available from the Website;
8. framing or hot linking or deep linking any Helzy Content.
9. circumventing or disabling any digital rights management, usage rules, or other security features of the Software.
5.3 HHTPL, upon obtaining knowledge by itself or been brought to actual knowledge by an affected person in writing or through email signed with electronic signature about any such information as mentioned above, shall be entitled to disable such information that is in contravention of Clauses 5.1 and 5.2. HHTPL shall also be entitled to preserve such information and associated records for at least 90 (ninety) days for production to governmental authorities for investigation purposes.
5.4 In case of non-compliance with any applicable laws, rules or regulations, or the Agreement (including the Privacy Policy) by a User, HHTPL has the right to immediately terminate the access or usage rights of the User to the Website and Services and to remove non-compliant information from the Website.
5.5 HHTPL may disclose or transfer User-generated information to its affiliates or governmental authorities in such manner as permitted or required by applicable law, and you hereby consent to such transfer. The SPI Rules only permit HHTPL to transfer sensitive personal data or information including any information, to any other body corporate or a person in India, or located in any other country, that ensures the same level of data protection that is adhered to by HHTPL as provided for under the SPI Rules, only if such transfer is necessary for the performance of the lawful contract between HHTPL or any person on its behalf and the User or where the User has consented to data transfer.
HHTPL respects the intellectual property rights of others and we do not hold any responsibility for any violations of any intellectual property rights by Users.

6. TERMINATION
6.1 HHTPL reserves the right to suspend or terminate a User's access to the Website and the Services with or without notice and to exercise any other remedy available under law, in cases where
1. Such User breaches any terms and conditions of the Agreement;
2. A third-party reports violation of any of its right as a result of your use of the Services;
3. HHTPL is unable to verify or authenticate any information provided by a User;
4. HHTPL has reasonable grounds for suspecting any illegal, fraudulent, or abusive activity on part of such User; or
5. HHTPL believes in its sole discretion that User's actions may cause legal liability for such User, other Users or for HHTPL or are contrary to the interests of the Website.
6.2 Once temporarily suspended, indefinitely suspended or terminated, the User may not continue to use the Website under the same account, a different account or re-register under a new account. On termination of an account due to the reasons mentioned herein, such User shall no longer have access to data, messages, files and other material kept on the Website by such User. The User shall ensure that he/she/it has continuous backup of any medical services the User has rendered in order to comply with the User's record keeping process and practices.
7. LIMITATION OF LIABILITY
WE PROVIDE THE PLATFORM AND THE SERVICES 'AS IS', 'WITH ALL FAULTS' AND 'AS AVAILABLE'. WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR GUARANTEES ABOUT THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING ALL STATUTORY WARRANTIES, WITH RESPECT TO THE SERVICES AND THE PLATFORM, INCLUDING WITHOUT LIMITATION ANY WARRANTIES THAT THE SERVICES ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE EFFECTIVE, RELIABLE OR ACCURATE OR WILL MEET YOUR REQUIREMENTS. WE DO NOT GUARANTEE THAT YOU WILL BE ABLE TO ACCESS OR USE THE SERVICES (EITHER DIRECTLY OR THROUGH THIRD-PARTY NETWORKS) AT TIMES OR LOCATIONS OF YOUR CHOOSING.
WE ARE NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, TIMELINESS OR COMPLETENESS OF INFORMATION PROVIDED BY USERS OF THE PLATFORM OR ANY OTHER DATA OR INFORMATION PROVIDED OR RECEIVED THROUGH THE PLATFORM. EXCEPT AS EXPRESSLY SET FORTH HEREIN, HELZY HEALTH PVT LTD MAKES NO WARRANTIES ABOUT THE INFORMATION SYSTEMS, SOFTWARE AND FUNCTIONS MADE ACCESSIBLE THROUGH THE PLATFORM OR ANY OTHER SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION. HELZY HEALTH PVT LTD DOES NOT WARRANT THAT THE PLATFORM OR THE SERVICES WILL OPERATE ERROR-FREE, THAT LOSS OF DATA WILL NOT OCCUR, OR THAT THE SERVICES SOFTWARE OR PLATFORM ARE FREE OF COMPUTER VIRUSES, CONTAMINANTS OR OTHER HARMFUL ITEMS. NO ADVICE OR INFORMATION, WHETHER ORAL, WRITTEN, OR OBTAINED BY YOU FROM OR THROUGH HELZY HEALTH PVT LTD OR FROM ITS SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS.
In no event, including but not limited to negligence, shall Helzy, or any of its directors, officers, employees, agents or content or service providers (collectively, the "Protected Entities") be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, the Website or the content, materials and functions related thereto, the Services, User's provision of information via the Website, lost business or lost End-Users, even if such Protected Entity has been advised of the possibility of such damages. In no event shall the Protected Entities be liable for:
1. provision of or failure to provide all or any service by Practitioners to End- Users contacted or managed through the Website;
2. any content posted, transmitted, exchanged or received by or on behalf of any User or other person on or through the Website;
3. any unauthorized access to or alteration of your transmissions or data; or
4. any other matter relating to the Website or the Service.
In no event shall the total aggregate liability of the Protected Entities to a User for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this Agreement or a User's use of the Website or the Services exceed, in the aggregate Rs. 1000/- (Rupees One Thousand Only).
8. INDEMNIFICATION
Upon a request by HHTPL, you agree to defend, indemnify, and hold harmless us, our employees, contractors, officers, directors, agents, parent, other affiliated companies, vendors and suppliers, from all liabilities, claims, demands and expenses, including attorney's fees, made by any third party that arise from or are related to (a) your access to the Platform, (b) your use of the Services, or (c) the violation of these Terms of Use by you or any third party using your Credentials of any intellectual property or other right of any person or entity. The foregoing indemnification obligation does not apply to liabilities, claims and expenses arising as a result of our own gross negligence or intentional misconduct.
9. RETENTION AND REMOVAL
HHTPL may retain such information collected from Users from its Website or Services for as long as necessary, depending on the type of information; purpose, means and modes of usage of such information; and according to the SPI Rules. Computer web server logs may be preserved as long as administratively necessary.
10. APPLICABLE LAW AND DISPUTE SETTLEMENT
10.1 You agree that this Agreement and any contractual obligation between HHTPL and User will be governed by the laws of India.
10.2 Any dispute, claim or controversy arising out of or relating to this Agreement, including the determination of the scope or applicability of this Agreement to arbitrate, or your use of the Website or the Services or information to which it gives access, shall be determined by arbitration in India, before a sole arbitrator appointed by HHTPL. Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat of such arbitration shall be Patna. All proceedings of such arbitration, including, without limitation, any awards, shall be in the English language. The award shall be final and binding on the parties to the dispute.
10.3 Subject to the above Clause 10.2, the courts at Patna shall have exclusive jurisdiction over any disputes arising out of or in relation to this Agreement, your use of the Website or the Services or the information to which it gives access.

11. SEVERABILITY
If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.
